Choose the filed formation record and its amendments

Formation papers show how an entity was created; a separate status certificate or registry extract may be needed to show its present standing.

01

Source record

Include filed articles, amendments, certification page, and registration stamp.

02

Reader and purpose

Entity type, authorized shares, registered agent, and corporate purpose should retain source meaning.

03

Quote details

Ask whether a recent registry extract or good-standing certificate is also required.

What to check before ordering

These notes help you describe your request. The receiving organization’s current instructions should guide the final requirements.

Identify the entity and exact filing

State the jurisdiction, issuing registry, legal entity type, printed document title, filing date, and whether the copy is certified. U.S. terminology varies: a corporation may have a certificate or articles of incorporation, while an LLC may file a certificate of formation or organization. Delaware’s Division of Corporations, for example, distinguishes its formation filing from a later certified copy or certificate of status. Use the source title rather than relabeling every entity record as articles.

Include amendments and incorporated schedules

An original filing can be followed by a name change, restatement, share amendment, merger filing, or other update. Ask the receiving bank, registry, lawyer, or counterparty which version and history it needs. Count the certification page, stamps, reverse-side notes, and every amendment or schedule included in the requested record set. Translation should preserve entity type, names, share language, dates, and defined terms as printed; it should not announce that an earlier filing remains current.

Separate formation from current status and authentication

A status certificate answers a different question from a formation filing. Delaware says a financial institution may ask for a certified filing copy or a good-standing certificate. For a U.S. filing used abroad, the competent issuing authority may also provide an apostille if the receiving body requires it. If the recipient is filing a document in Slovakia’s Commercial Register collection, section 40 of the current Act 29/2026 describes Slovak-language documents or foreign-language documents with a verified Slovak translation; a separate option for identical additional EU-language versions is not a blanket English-only filing rule. Ask the filing representative whether these U.S. articles are required, what language form it accepts, and which copy or authentication it needs. A translation itself does not certify a copy, authenticate a signature, or prove current status.

Request a quote for the actual package

Provide the issuing state or country, entity document type, filing and amendment dates, page count, recipient, written translation requirement, and deadline. Avoid entering registration numbers, ownership details, or sensitive clauses in the public form. A complete legible copy can be reviewed through an agreed channel once the scope is clear.

Common questions

Answers to common questions before you request a quote.

Do the original articles prove the company is currently in good standing?

Not by themselves. Ask the recipient whether it also wants a current status certificate or registry extract.

Should later amendments be translated too?

Ask the recipient which filing history it needs. Mention every amendment and restatement in the quote request so the scope is complete.
