What to know
Ownership and voting arrangements can depend on a share schedule, company articles, and later amendments.
Include capitalization schedules, reserved matters, transfer rules, and signature pages.
Share classes, voting thresholds, vesting, and exit terms require consistent defined terms.
Ask whether company articles or bylaws need translation with the agreement.
Document guide
These notes help you describe your request. The receiving organization’s current instructions should guide the final requirements.
State the company jurisdiction, entity type, agreement date, amendment history, intended Slovak reader, and whether the translation is for diligence, negotiation, or signing. A founders agreement, stockholders agreement, subscription agreement, and articles of association are different source documents. Name the exact file and its governing-law clause without assuming that a Slovak filing is required.
Share classes, capitalization schedules, voting thresholds, reserved matters, transfer restrictions, vesting, and exit provisions often refer to defined terms elsewhere. Supply referenced schedules and amendments and ask whether the recipient also needs the articles or bylaws. A percentage without its class, record date, or denominator may be misleading. A partial translation should label the missing context clearly.
Slovensko.sk distinguishes a memorandum or deed of incorporation used to set up a company from other company records, and describes a separate Collection of Documents for certain business-register materials. Those pages do not establish that every private shareholder agreement must be filed. Ask the Slovak registry, investor, bank, or counsel which exact record it requests and in what form; do not order a translation based on a guessed filing rule.
Give page count, table count, language, version, intended use, and deadline without posting cap-table names, ownership percentages, signatures, or confidential terms in the public form. Translation does not resolve a conflict with articles, validate a transfer restriction, or supply legal advice. Counsel should review a signing version against the source and applicable law.
